Terms of service for HC Controller subscriptions

Last updated: 13 October 2026

1. Parties and scope

These terms apply between PlanetHike OÜ, Estonia (the “Provider”, see the Impressum) and the business or public body that orders a subscription (the “Customer”). They apply to businesses only, not to consumers. Terms of the Customer do not apply, even if the Customer refers to them. The free test drive is governed by the test terms.

2. Order and service

A contract is formed when the Provider confirms a quote or order form in writing, including by email. The order names the packages, the number of named users and positions, the fees and the start date. The Provider supplies HC Controller as an online service for headcount, planning and personnel-cost controlling, in the packages ordered.

3. Right of use

The Provider grants the Customer a non-exclusive, non-transferable right to use the ordered packages during the term for its own internal business purposes, for the named users in the order. The Customer will not resell or sublicense the service, let third parties use it, copy or reverse engineer it, or use it to build a competing product. Accounts are personal and may not be shared.

4. Customer data and data protection

The Customer keeps all rights to the data it loads. It grants the Provider the right to process that data only to provide the service. The Customer is responsible for having the right to load the data and for a legal basis under data protection law. The service is designed for position-level data; the Customer will not load names or special categories of personal data unless the order says so. Where the Provider processes personal data on the Customer's behalf, the data processing agreement applies and forms part of the contract. The Provider will send it on request together with its list of sub-processors.

5. Fees and payment

Fees are stated in euro, exclude VAT and are invoiced annually in advance. Invoices are payable within 14 days of the invoice date. If payment is late, the Provider may charge statutory default interest and, after a reminder, suspend access until payment is made. The Provider may change fees for a renewal term by giving 60 days' notice before the term ends.

6. Term and termination

The contract runs for twelve months from the start date and renews for further twelve-month terms unless either party gives written notice at least 60 days before the term ends. Either party may terminate for good cause with immediate effect, in particular if the other party materially breaches the contract and does not remedy the breach within 30 days of written notice. After termination the Customer can export its data for 30 days; then the Provider deletes it, unless the law requires it to be kept.

7. Availability and support

The Provider aims for continuous availability but does not promise uninterrupted operation. Planned maintenance is announced where possible. Support is by email on business days in Estonia. Any service level that goes beyond this must be agreed in the order.

8. Results and the Customer's responsibility

HC Controller calculates figures from the data and rules the Customer loads. The Customer checks the inputs and results before relying on them. The service is not payroll, tax, accounting, legal or audit advice. Restructuring, retirement, severance and ESG functions give indicative results that the Customer must confirm with its own qualified advisers before any decision or communication.

9. Intellectual property

The service, its software, content and documentation remain the property of the Provider or its licensors. The Customer may use exports of its own results freely. Feedback may be used by the Provider without restriction.

10. Confidentiality

Each party keeps the other's non-public business information confidential, uses it only for the contract and discloses it only to staff and advisers who need it and are bound to confidentiality, or where the law requires. This continues for three years after the contract ends.

11. Warranty

To the extent the law allows, the service is provided “as is” and the Provider gives no warranty beyond these terms, including no warranty that it fits a particular purpose or that it is free of errors.

12. Liability

To the extent the law allows, the Provider is not liable for indirect or consequential loss, loss of profit, revenue, savings or goodwill, business interruption, or loss or corruption of data that the Customer could have avoided by keeping its own copy. The Provider's total liability for all claims arising in connection with the contract in any contract year is limited to the fees paid by the Customer for that contract year. The Provider is not liable for results that rest on incorrect or incomplete input data or on the Customer's own rules. Nothing in these terms limits liability that cannot be limited under mandatory law.

13. Force majeure

Neither party is liable for failure caused by events beyond its reasonable control, such as failures of public networks or power, major cloud-provider outages, strikes, war or acts of authorities. The affected party tells the other without delay.

14. Changes

The Provider may change these terms for future terms of the contract by giving at least 30 days' notice by email. If the change is to the Customer's disadvantage, the Customer may terminate in writing before it takes effect.

15. General

Notices by email are sufficient. Neither party may assign the contract without the other's consent, except that the Provider may transfer it to a successor of its business. If a provision is invalid, the rest stays in force. The order and these terms are the whole agreement.

16. Governing law and courts

The law of Estonia applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Disputes are decided by Harju County Court (Harju Maakohus) in Tallinn.
